使用條款
歡迎來到我們的eCup移動解決方案。 eCup由eCup HK Limited完全擁有和管理。 我們將根據移動應用的使用條款和條件為您提供移動應用的服務。 通過輸入或使用我們的移動應用程序,您承認您已閱讀並理解條款與條件,並同意受這些條款與條件的約束,無限製或保留。 eCup HK有限公司(“eCup HK”)可隨時更改這些條款,恕不另行通知,同時閣下聲明(而我們有權據此依賴有關聲明)閣下年滿18歲或以上,並有構成具法律約束力合約的能力。

詞彙的涵義
「我們」乃對(提供服務的人士或公司的姓名或名稱)的提述。

「閣下」乃對我們向其提供服務或交付商品的人士及須就我們所交付的商品付款的人士的提述。

「商品」指閣下透過我們的移動應用程序所訂購及將會支付的貨物或服務。

使用服務
閣下向我們及透過我們的移動應用程序提供商品的所有咖啡廳/餐廳/供應商聲明,閣下透過我們的移動應用程序所作出的所有訂購將於閣下訂立合約的權力範圍內進行。

閣下於填寫送貨地址及客戶資料時提供有關閣下的真實、準確、最新及完整的資料。

閣下要保持及即時更新閣下的送貨地址及客戶資料以確保有關資料真實、準確、最新及完整。如我們有合理理由懷疑任何資料屬不實、不準確、並非最新或不完整,我們有權暫停或終止閣下的服務。

訂購服務
我們負責管理移動應用程序、安排訂單處理過程及完成提供閣下透過我們的移動應用程序向供應商訂購的商品。

當閣下作出訂購時,即表示閣下按商品的指定價格向咖啡廳/餐廳/供應商購買該等商品。閣下一旦提交,則不得取消有關訂單,即使我們仍未接納或拒絕閣下的訂單。

我們的移動應用程序將提供有關訂單資料,其中包括您所訂購的商品的資料,所收取的價格的資料,有關您的訂購進度的資料。

當閣下於在市集上訂購,除了以上資料還會提供發貨和交付資料以及確認電子郵件。

我們所接納閣下的訂單將只會涵蓋該確認所指的商品,而未必涵蓋閣下所訂購的所有商品。如屬此情況,則當我們就閣下訂單的其餘商品進一步發出接納確認時,閣下就該訂單部分所作出的訂購方獲接納。

商品的存貨供應於移動應用程序顯示,並將由咖啡廳/餐廳/供應及我們定期更新。但不應被依賴作為閣下有意購買的商品是否確實有存貨的確切聲明。

我們保留權利可全權酌情就任何理由不接納或取消訂單,包括但不限於:
1. 閣下所訂購的貨物並無足夠的存貨。
2. 未能就閣下的地區安排送貨。
3. 閣下所訂購的一件或多件商品所標示的價格因人為或電腦錯誤或供應商所提供的定價資料錯誤而出錯。

如我們取消閣下的訂單,我們將以推送通知/電郵方式通知閣下,並將盡快但無論如何於閣下訂單起計三十(30)日內於閣下的戶口存入我們於閣下的信用卡所扣減的任何金額。閣下接納我們毋須就閣下的不滿而作出任何賠償。

價格及付款
我們將採取一切合理商業努力以於我們的移動應用程序顯示準確及最新價格。然而,由於各類銷售商品的價格通常由供應商更新,故我們於接納閣下的訂單前無法列出確實的價格。

如商品的價格於我們擬接納閣下訂單時高於閣下作出訂購時的價格,則我們將取消閣下的訂單,或
1. 聯絡閣下,以諮詢閣下是否有意支付較高價格或取消閣下的訂單,或
2. 如我們取消訂單,而閣下已作出任何付款,則我們將向閣下退回我們於閣下的信用卡所扣減的任何金額。閣下同意及接納我們毋須就閣下的不滿而作出任何賠償。

我們僅接納Visa及萬事達信用卡付款。當閣下作出訂購時,即表示閣下授權我們,按我們於接納閣下訂單時商品的金額以閣下所指定的信用卡付款。於收取款項前,商品的所有權不會轉移至閣下。

我們使用第三方付款服務以進行網上交易。當閣下作出訂購時,閣下同意及接納,受其條款及細則所限,閣下的信用卡資料將會被我們以及付款服務供應商收集、處理及保留。閣下同意及接納,閣下單獨及獨自承擔閣下於進行信用卡交易時所招致或產生的任何損失,且我們於任何情況下均毋須承擔任何有關全部或部分損失。

付款

送貨(市集)
除於農曆新年首兩天及當八號或以上颱風警告信號或黑色暴雨警告生效時外,我們/供應商由星期一至日僅於香港的特定地區送貨。我們現時並無向偏遠地區及離島,及並無升降機設備的樓宇送貨。我們保留全權決定拒絕送貨的權利。閣下同意及接受,閣下會從我們的物流中心收取已訂購的商品,於任何情況下我們均不會接受取消訂單或向閣下退款。

我們/供應商會將閣下訂購的商品透過我們的職員或第三方供應商送遞閣下所提供的送貨地址。當閣下確認收到商品同時,閣下同意應要求出示具有照片的身份證明。當商品送遞至閣下所提供的送貨地址,商品被視為交付予閣下及由閣下接收。倘閣下因任何原因而未能接收商品,閣下同意及接受我們有權選擇向閣下收取額外費用或取消閣下訂購而無需退款或作出任何補償。

有關發送商品的任何時間及日期,或送貨所需的時間僅為估計。倘我們未能符合任何訂明的發送或送貨日期或時間,我們將通知閣下有關閣下訂單的進度。閣下同意及接受,於任何情況下我們均不會接受取消訂單或向閣下退款。

當閣下所購商品已送交閣下,閣下將成為商品的擁有人。當商品已送交閣下,閣下將自行承擔持有商品的風險而我們將無須為它們的損失或損壞負責。

當閣下網上購物滿$300 免運費(只適合於eCup App市集內),未買滿指定金額將收取每單$30-$40運費。

退款/退貨/換貨
除另有規定外,概不接受退款或退貨或更換貨物。

免責聲明及責任限制
我們並不聲明或保證進入我們的移動應用程序(包括使用手機應用程式或軟件)或其任何部份將不受阻擾、可靠或並無故障。

我們並不向閣下聲明或保證我們的移動應用程序或其任何內容將為準確、完整或可靠。

我們並不聲明或保證:
1. 任何服務(不論是否由我們提供) 將以適當謹慎及技巧提供;或
2. 任何商品 (不論是否由我們提供) 將具備可商售品質或將適合任何用途(儘管已事先將該用途通知我們)。

閣下同意概無互聯網上的數據傳輸可保證為完全安全。儘管我們致力保護該資料,我們不保證且無法確保閣下傳輸給我們的資料的安全。閣下向我們傳輸任何資料須自行承擔風險。

於法例許可的範圍下,我們排除因以下原因對閣下的所有責任 (不論於合約、侵權或其他形式出現及不論是否因我們的疏忽):

3. 任何延遲提供,或未能提供或使商品或服務可取用,或任何對商品或服務的疏忽提供;

5. 任何有關我們的移動應用程序、商品或服務的失實陳述。

除法例規定以外:
1. 我們將不就任何間接或相應而生的損失、損害或費用向閣下負責,包括由任何閣下知會我們的問題而引起的利潤、業務或商譽的損失,及
2. 我們將無責任以賠償方式向閣下支付任何款項,除非於此等條款及細則另有訂明。

閣下必須遵守及符合所有適用規例及法例,包括取得所有從我們的移動應用程序購買商品所需的海關、進口或其他許可。我們不就閣下購買的商品的出口或進口作任何陳述或承擔任何責任。

閣下同意此等限制就我們的移動應用程序性質而言均屬合理,尤其是由於當閣下透過我們的移動應用程序購買商品時,將每次與供應商訂立獨立的合約。

以上排除概不影響任何不可被排除的法定權利。然而,於該情況下,我們的責任(於法律許可下)將限於向閣下再供應服務或商品。

eCup HK將盡一切合理努力確保本應用程序中發布的信息真實,準確和可靠。由於此應用程序包含第三方的內容,因此eCup HK對此類應用程序的準確性,完整性和可靠性不作任何保證或陳述 各方的內容。

保證
閣下聲明、保證及承諾,閣下不會:

1. 使用我們的移動應用程序作任何欺詐或非法用途;
2. 使用我們的移動應用程序誹謗、辱駡、騷擾、跟蹤、威脅或侵犯其他人士的權利(包括但不限於其他人士的私隱權或宣傳權);
3. 阻礙或干擾我們的移動應用程序運作或我們移動應用程序所用的伺服器或網絡;或違反有關網絡的任何規定、程序、政策或法規;
4. 對我們的移動應用程序傳送或發放任何有害或侵入性或可能或擬損害任何硬件、軟件或設備運作或監察任何硬件、軟件或設備使用的病毒、蠕蟲、特洛伊木馬程式或其他電腦編碼;
5. 就任何商業用途而轉載、複製、出售、轉售或利用我們移動應用程序(包括應用程式或軟件)的任何部分、或其使用或連接;
6. 對我們移動應用程序(包括使應用程式或軟件)的任何部分進行修訂、改編、翻譯、反向工程、反編譯或反彙編;
7. 未經我們的事先書面同意下建構或複製移動應用程序的任何部分;
8. 以有組織地下載及儲存內容、用戶內容或任何移動應用程序內容的方式建立數據庫;及
9. 侵犯商品的任何版權、設計權及知識產權權利。

彌償
閣下同意就因違反本文內任何契諾、保證、聲明及協議而引致我們及我們的所有董事、僱員及承包商的任何索償、損失、損害、費用、開支(包括法律開支)或其他責任向我們及我們的所有董事、僱員及承包商作出彌償,並使我們免受損害。

連結網站
我們的移動應用程序中的若干連結(包括超連結)將引領閣下離開我們的移動應用程序。連結僅為閣下便利提供,而包括任何連結不意味我們對連結網站、其營運商或其內容的支持或認可。我們不就我們的移動應用程序以外的任何網站內容負責。

流動程式內容
此移動應用程序包含與eCup HK簽約的咖啡廳/餐廳/供應商提供的資訊,eCup HK不會通過我們的移動應用程序驗證咖啡館/餐廳/供應商發布的任何內容。

版權和用戶責任

Terms of Use

Welcome to our eCup mobile solution. eCup is owned and managed fully by eCup HK Limited. We will provide you with services on our mobile application based on the terms and conditions of use of the mobile app. By entering or using our mobile app, you acknowledge that you have read and understood the terms and conditions and agree to be bound, without limitation or retention, by these Terms and Conditions. eCup HK Limited (“eCup HK”) may make changes to these terms at any time without notice and making a statement, upon which we are entitled to rely, that you are aged 18 years or above and capable of forming a legal binding contract.

Interpretation

“we”, “us” or “our” is a reference to (name of person or company providing the services).

“you” or “your” is a reference to the person to whom we are providing the services or delivering merchandise and who is required to pay for the merchandise we delivered.

“merchandise” means the goods or services you ordered through our app, which you will pay for.

Use of Services

You represent to us and all cafes/ restaurants/ supplier of the merchandise through our app that all purchases made by you through our app will be within the scope of your authority of conclude contracts.

You will provide true, accurate, current and complete information about yourself when filling out the delivery and related customer preference information.

You will maintain and promptly update your delivery and related customer preference information to keep it true, accurate, current and complete. If we have reasonable grounds to suspect that any information is untrue, inaccurate and not current or incomplete, we have the right to suspend or terminate your services.

Order Services

We are responsible for managing and administering the app, arranging order processing and fulfillment for the merchandise you ordered from the cafes/ restaurants/ supplier through our app.

When you place an order you are making an offer to buy from the cafes/ restaurants/ supplier the merchandise you have specified at the price stated for those merchandise. You cannot cancel an order once it has been submitted, even if our acceptance or rejection of your order is still pending.

We will provide detail of the order information, which include details of what you have ordered, details of the price charged, information about the progress of your order.

For placing an order in the Market Place, it will include addtional information of estimated dispatch and delivery and confirmation e-mail.

Our acceptance of your order will only cover the merchandise mentioned in it and may not cover all the merchandise you ordered. If this is the case, then the order you made for the remaining merchandise will only be accepted when we send a further acceptance of that part of your order.

The availability of the merchandise is as shown online and will be updated regularly by us. They should not be relied on as definite statements as to whether the merchandise you wish to purchase are actually in stock.

We reserve our right not to accept or cancel an order for any reasons at our sole discretion, including without limitation:
1. no sufficient stock to deliver the merchandise you have ordered.
2. no delivery can be arranged for your area.
3. one or more of the merchandise you ordered was listed at an incorrect price due to a human or computer error or an error in the pricing information provided by the supplier/ us.

If we cancel your order we will notify you by email/ app push notification and will credit to your account any sum deducted by us from your credit card as soon as possible but in any event within thirty (30) days of your order. You accept that we will not be obliged to offer any compensation for disappointment suffered.

Price and Payment

We will use all reasonable commercial endeavors to display accurate and up to date prices on our app. However, because prices of the type of merchandise for sale are often updated by the supplier we cannot state the definite price until we send you our acceptance of your order.

If the price of the merchandise is higher at the time we are ready to send our acceptance of your order to what it was at the time you placed your order then we will either:
1. Cancel your order, or
2. Contact you to ask you whether you wish to pay the higher price or cancel your order.

If the order is cancelled by us, if you have already made any payment, we will make a refund on any sum deducted by us from your credit card. You agree and accept that we will not be obliged to offer any compensation for disappointment suffered.

We only accept credit card payments made by Visa and MasterCard. When you place an order you authorise us to debit the credit card you specify on your order for the amount of the order at the time we send our acceptance of your order. Title in the merchandise does not pass to you until payment has been received.

We use third party payment service to process online transactions. When you place an order, you agree and accept that your credit card information will be collected, processed, and kept by us and a payment service provider subject to its terms and conditions. You agree and accept that you are solely and exclusively responsible for any losses incurred or sustained by you in making credit card transaction, and in no event shall any such losses in whole or in part be borne by us.

Payment

Where you make a payment via our Site we will use one of our payment providers, such as Stripe or Alipay, to process your payment. In connection with the processing of such payments, we do not retain your payment information (including Financial Data). Rather, all such information related to your transaction is provided directly to the payment provider, whose use of your personal data is governed by their privacy policy. You can find out more about how Stripe collects and uses your personal data by reviewing their privacy policy here before completing a transaction on our Site. You can find out more about how Alipay collects and uses your personal data by reviewing their privacy policy here. By using our services and making payments via our Site, you are agreeing to Stripe and/or Alipay’s use of your personal data in accordance with their privacy policies, including uploading your Installed Application info (regarding whether you have installed Alipay on your mobile device) to https://mcgw.alipay.com.

Delivery (Market Place)

We/ The Supplier only make deliveries in the specified areas of Hong Kong from Monday to Sunday except on the first two days of the Lunar New Year and when typhoon warning signal No. 8 or above or black rainstorm warning is in force. We currently do not make deliveries to remote areas and outer islands, and buildings without elevator facility. We reserve the right to decline delivery at our sole discretion. You agree and accept that you will collect your ordered merchandise from our logistics centre and under no circumstances will we accept cancellation of order or refund.

We/ The Supplier will deliver the merchandise ordered by you to the address you give us for delivery at the time you make your order through our staff or a third party provider. You agree to present your photo identification upon request when you acknowledge receipt of the merchandise. The merchandise shall be, and shall be deemed to be, delivered and accepted by you when the merchandise are delivered to the address you give us for delivery. You agree and accept that we are entitled, at our option, to charge you additional costs or cancel your order without any refund or compensation to you in the event of your failure to accept delivery for whatever reasons.

Any times and dates given for dispatch of merchandise, or the length of time that merchandise will take to be delivered, are only estimates. If we are unable to meet any stated dispatch or delivery dates or times we will inform you as to the progress of your order. You agree and accept that under no circumstances will we accept cancellation of order or refund.

You will become the owner of the merchandise you have ordered when they have been delivered to you. Once merchandise has been delivered to you they will be held at your own risk and we will not be liable for the loss or damage.

Free Delivery threshold to $300 or above (apply to eCup App Marketplace only), $30/$40 will be charged if order fails to fulfill free delivery threshold.

Refund / Return / Exchange

Unless otherwise specified, no refund or no return or exchange of merchandise will be accepted.

Disclaimer of Warranties and Limitation of Liability

We do not represent or warrant that access to our app (including using our applications or software), or any part of it, will be uninterrupted, reliable or fault-free.

We do not represent or warrant to you that our app or any of its contents will be accurate, complete or reliable.

We do not represent or warrant that:
1. Any services (whether or not provided by us) will be provided with due care and skill; or
2. Any merchandise (whether or not provided by us) will be of merchantable quality or will be fit for any purpose (even if that purpose has been previously notified to us).

You agree that no data transmission over the Internet can be guaranteed as totally secure. Whilst we strive to protect such information, we do not warrant and cannot ensure the security of any information which you transmit to us. Any information which you transmit to us is transmitted at your own risk.

To the extent permitted by law, we exclude all liability (whether arising in contract, tort or otherwise and whether or not due to our negligence) which we may otherwise have to you as a result of:
1. Any technical, factual, textual or typographical inaccuracies, errors or omissions on or relating to our app (including using our applications or software) or any information on our app;
2. the unavailability of our app (or any part of it), merchandise or services;
3. any delay in providing, or failure to provide or make available, merchandise or services, or any negligent provision of merchandise or services;
4. any merchandise not being of merchantable quality or fit for their intended purpose; or
5. any misrepresentation on or relating to our app, the merchandise or the services.

Save as required by law:

1. We will not be liable to you for any indirect or consequential loss, damage or expenses, including loss of profits, business or goodwill, arising out of any problem you notify to us, and
2. We will have no liability to pay any money to you by way of compensation except otherwise specified in these terms and conditions.

You must observe and comply with all applicable regulations and legislation, including obtaining all necessary customs, import or other permits to purchase merchandise from our app. We make no representation and accept no liability in respect of the export or import of the merchandise you purchase.

You agree that each of these limitations is reasonable having regard to the nature of our app and in particular given that when you purchase merchandise through our app you will enter into a separate contract with the supplier in each case.

None of the above exclusions shall affect any statutory rights which are not capable of being excluded. However, in such case our obligation, where permitted by law, will be limited to the resupply of our services or the merchandise to you.

eCup HK will make every reasonable effort to ensure that the information posted on this application is true, accurate and reliable. Since this application contains content of third parties, eCup HK does not make any warranties or representations for the accuracy, completeness and reliability of such third parties’ content.

Each of the above exclusions or limitations shall be construed as a separate, and severable, provision of these terms and conditions.

Warranties

You represent, warrant and covenant that you will not:

1. Use our app for any fraudulent or unlawful purpose;
2. Use our app to defame, abuse, harass, stalk, threaten or otherwise violate the rights of others, including without limitation others’ privacy rights or rights of publicity;
3. Interfere with or disrupt the operation of our app or the servers or networks used to make our app available; or violate any requirements, procedures, policies or regulations of such networks;
4. Transmit or otherwise make available in connection with our app any virus, worm, Trojan horse or other computer code that is harmful or invasive or may or is intended to damage the operation of, or to monitor the use of, any hardware, software, or equipment;
5. Reproduce, duplicate, copy, sell, resell, or otherwise exploit for any commercial purposes, any portion of, use of, or access to our app (including our applications or software);
6. Modify, adapt, translate, reverse engineer, decompile or disassemble any portion of our app (including our applications or software);
7. Frame or mirror any part of the site without our express prior written consent;
8. Create a database by systematically downloading and storing the Content, User Content or any app content; and
9 Infringe any copyright, design right and intellectual property right in the merchandise.

Indemnity

You agree to indemnify us and all of our directors, employees and contractors, and hold us all harmless from any claim, loss, damage, cost, expense (including legal expenses) or other liability which may be incurred by us arising out of any breach of the covenants, warranties, representations and agreements herein.

Linked Websites

Certain links, including hypertext links, in our app will take you outside our app. Links are provided for your convenience and inclusion of any link does not imply endorsement or approval by us of the linked site, its operator or its content. We are not responsible for the content of any website outside our app.

Mobile app content

This mobile app contains data provided by cafes/restaurants/supplier contracted with eCup HK. eCup HK does not verify any contents published by cafes/restaurants via our mobile app.

If you have any queries about the information in our mobile app, please contact the corresponding cafe/restaurant directly for clarification.

Copyright and user liability

All contents provided by this mobile application, including but not limited to texts and images, are property of eCup HK and are protected by copyright law. Trademarks, logos and service marks displayed on this website are owned by eCup HK and are protected by the Trademark Law. It is allowed to download, share or print for personal use, however, without the authorization of eCup HK by written approval, it is forbidden to modify, use, reproduce or access the contents of this mobile app for any purpose and in any form. The data for this phone application must not be sold or used to make profits.

Third-party mobile app
